Terms of Service
1. Acceptance of Terms
By accessing or using the RatifiedRx platform, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use our services.
2. Description of Services
RatifiedRx provides prior authorization automation software that assists healthcare organizations with documentation preparation and payer submission. RatifiedRx automates the workflow of prior authorization requests — it does not guarantee approval outcomes. Payer decisions are made solely by the payer based on their medical and coverage criteria.
3. Business Associate Agreements
Use of RatifiedRx to process Protected Health Information (PHI) requires execution of a Business Associate Agreement (BAA) between your organization and RatifiedRx prior to transmitting any PHI. BAAs are available upon request at team@ratifiedrx.com. Processing PHI without an executed BAA is a material breach of these Terms.
4. Permitted Use
You may use RatifiedRx solely for lawful prior authorization purposes in connection with legitimate healthcare operations. You may not use the platform to submit fraudulent prior authorization requests, circumvent payer requirements, or in any manner that violates applicable law including HIPAA, state privacy laws, or healthcare fraud and abuse statutes.
5. User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for ensuring that your organization's use of RatifiedRx complies with all applicable laws and regulations. You must promptly notify us of any unauthorized use of your account.
6. Not a Clinical Decision-Maker
RatifiedRx is an administrative automation tool. It assists with documentation, submission, and workflow management for prior authorization requests. RatifiedRx does not provide medical advice, does not make clinical decisions, does not diagnose conditions, and does not prescribe treatments. All clinical decisions remain the sole responsibility of licensed healthcare professionals. The platform's AI-assisted features support documentation tasks only and do not replace clinical judgment.
7. Intellectual Property
RatifiedRx and its licensors own all right, title, and interest in the platform, including all software, algorithms, designs, and documentation. These Terms do not grant you any intellectual property rights in the platform beyond the limited license to use the service as described herein.
8. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RATIFIEDRX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PRIOR AUTHORIZATION REQUESTS SUBMITTED THROUGH THE PLATFORM WILL BE APPROVED BY PAYERS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RATIFIEDRX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. RATIFIEDRX'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless RatifiedRx and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, or your violation of any applicable law or third-party rights.
11. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date. Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
